The short version
- Chairside is software, not a barbershop. Your rental agreement is with your shop, not with us.
- Shop owners set the rent and the late fees. We calculate and collect what the shop sets up.
- Payments run through Stripe. Card, Apple Pay and Google Pay. Every shop starts at an 8% app fee on each booth payment. Your shop's rate is guaranteed for 24 months from when it joins. After that we can change it only with 60 days' notice (section 8).
- Texts are rent-only, up to a few a month. Reply STOP to stop them, HELP for help.
- You must be 18 or older to use Chairside.
01 This agreement
These Terms of Service ("Terms") are a contract between you and Nzati Incorporated S Corp, at 4111 Rose Lake Dr Charlotte,NC 28217 ("Chairside", "we", "us"), the company that makes the Chairside app.
By creating an account, signing in, or using the app, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use Chairside. If you use Chairside for a business, such as a barbershop you own, you confirm you are allowed to accept these Terms for that business.
02 What Chairside is — and what it isn't
Chairside is software that helps a barbershop rent booths (chairs) to barbers: scheduling who uses which booth and when, working out what each barber owes, charging late fees the shop has configured, collecting payment, and keeping a record.
What Chairside is not:
- We are not the barbershop and we are not a party to the rental agreement between a shop and a barber. That agreement, and any dispute about it, is between them.
- We are not the employer, agent, or landlord of anyone using the app. We don't set booth rent, hours, or chair rules.
- We don't hold your money. Payments are processed by Stripe, our payment processor, which moves the shop's share to the shop's account.
- We don't give legal, tax or accounting advice, and the app's late-fee settings are not a legal opinion. Shop owners are responsible for setting fees that comply with their state's law.
03 Who can use it
You must be at least 18 years old and legally able to enter a contract. You must use the app for its intended purpose: renting a booth, or renting booths out. You may not use Chairside where doing so would break the law, and the app is offered for use in the United States.
04 Accounts
- Give accurate information and keep it current — a wrong email or mobile number means missed bills and reminders.
- One account per person. Don't share your login or create accounts to get around a suspension.
- Keep your password private. You're responsible for activity under your account; tell us promptly if you think someone else has your password.
- You can see the devices signed in to your account and sign any of them out. Changing your password signs out every other device.
- Renters join a shop with a single-use invite code from that shop. Invite codes are valid for 30 days, and you can accept invites from more than one shop.
05 Shop owner duties
If you own a shop, you're the one making the business decisions the app records. You agree to:
- Set rent and fees that comply with the law where your shop is, including any limits your state puts on security deposits, late fees or booth-rental terms — and treat the app's late-fee settings as a tool, not as approval of a particular amount.
- Keep a written rental agreement with each barber that covers rent, schedule, notice and fees, separate from this app.
- Enter people's contact details accurately, and only add someone's mobile number if they agreed to receive rent texts from Chairside. You confirm this in the app each time you add a number.
- Use the app's invite and reminder messages for rent purposes only — not for marketing, and not for anyone who hasn't agreed.
- Keep the payout account with Stripe accurate, and complete Stripe's identity and bank verification.
- Handle your renters' data lawfully, and tell them what you do with it outside Chairside.
- End a rental in the app when a barber leaves, so they stop being billed.
- If you appoint a shop manager, you're responsible for what they do in the app on your behalf. A manager can add, schedule and remove renters and see the shop's revenue for the current and previous month. Chairside emails you every change they make, and you can remove a manager at any time.
06 Renter duties
- Pay the rent your shop sets, by the due date your shop sets, including any late fee that applies under the shop's rules.
- Check your bill. If a charge looks wrong, raise it with your shop. We can show you the records but we don't decide who owes what.
- Keep your contact details current if you want reminders and receipts.
- Don't pay with a card you're not authorized to use.
07 Rent and late fees
Your shop sets how rent is calculated and when it's due. Chairside supports three ways of renting a booth, and the shop chooses one (or several) for each rental:
| Rental type | How the bill is worked out |
|---|---|
| Full month | The booth's monthly price. If the rental starts mid-month, the first bill is prorated by days. |
| By day | The booth's daily price, multiplied by the number of times each chosen weekday falls in the month. Two barbers can share one booth on different days. |
| Custom hours | The booth's hourly price, multiplied by the hours in each time block and the number of times that weekday falls in the month. Barbers can share a booth on the same day in different time blocks. |
The app blocks a booking that would double-book a booth for the same day and hours. Shop owners can change prices at any time; a change affects bills issued after the change, not bills already issued.
Late fees. Late fees are set entirely by your shop: the fee type (flat amount or percentage of rent), the grace period, any extra amount per day, and any cap. Chairside applies those rules automatically and shows the calculation on every bill. A shop can waive a fee, and a renter can ask their shop to waive one — we don't waive fees ourselves. If you believe a late fee is unlawful or wrong, take it up with your shop; nothing in these Terms makes us the decision-maker on a fee.
08 Payments and our fee
How payment works
Card payments (Visa, Mastercard, American Express, Discover) and wallet payments (Apple Pay, Google Pay) are processed by Stripe. You enter your payment details directly into Stripe's secure form; they never reach Chairside's servers. Your use of the payment features is also subject to Stripe's terms.
When a payment succeeds, Stripe sends the shop's share to the shop's connected account and the app fee to us. A payment isn't complete until Stripe confirms it; a pending or failed payment does not settle a bill.
Our app fee — 8%, guaranteed for 24 months
Chairside charges an app fee on each booth-rent payment made through the app. Every shop starts at 8%. Your shop's current rate is always shown in the app under Payouts, and each payment in your payout history shows the rate it was charged. Each shop chooses one of two ways to cover the fee, in its settings:
- Shop pays — the fee comes out of the shop's payout, and the renter pays only rent and any late fee.
- Renter pays — the fee is added at checkout as a separate service fee, shown line by line before you confirm.
Card processing costs charged by Stripe (for example 2.9% + 30¢ on US cards) are separate from our fee; where the shop pays our fee, those costs come out of it.
You can switch between "shop pays" and "renter pays" whenever you like in your settings. A switch applies to payments made after you switch, and renters always see the fee, if any, as its own line before they confirm.
Refunds, disputes and chargebacks
- Refunds of rent are decided and issued by the shop, not by us. If a shop refunds a payment, we refund the app fee on it too.
- If you think a charge is wrong, contact your shop first. You can also dispute a charge with your card issuer; if a chargeback is filed and the bank rules for the renter, the shop's share of that payment is taken back from the shop. Chairside pays Stripe's dispute fee; we don't pass it on to the shop.
- Rent paid in cash or outside the app can be marked paid by the shop; no app fee applies to those payments, and Chairside has no record of the money itself.
- We don't hold funds and can't release a shop's payout — only Stripe can, and only to the shop's verified bank account.
Taxes
Shop owners are responsible for their own income tax, sales tax and reporting. Chairside doesn't provide tax forms for rent paid to shops. Payment records are available in the app for your records.
09 Text message terms
These terms apply to the text messages Chairside sends. The program is called Chairside rent notifications.
| Item | Detail |
|---|---|
| What we text | Invites to set up a Chairside login, and reminders that booth rent is coming due, is due, or is late, including any late fee. |
| How you opt in | You give your mobile number to your shop for booth-rent messages, or enter it yourself in the app. Your shop confirms your agreement in the app. Opting in is never a condition of renting a booth or paying rent. |
| Frequency | Varies with your billing cycle — typically a few messages a month, and no more than one automatic reminder per bill per day. |
| Cost | Message and data rates may apply. Chairside doesn't charge for texts, but your mobile carrier's plan may. |
| Opt out | Reply STOP to any message. You'll get one confirmation, then no more texts. Reply START to turn them back on. |
| Help | Reply HELP, or email support@chairsideusa.com. |
| Carriers | Mobile carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier and device. |
| Privacy | Your number and consent are used only for these messages. We do not share, sell or rent mobile numbers or SMS opt-in data to third parties or affiliates for marketing, and consent can't be transferred to anyone else. |
Supported carriers and coverage can change. If a text fails, we log the failure and may try email or an in-app reminder instead.
10 Email
We email invites, password-reset links, rent reminders and receipts. These are service messages about your account; you can't opt out of security messages such as a password reset you requested, but you can turn reminders and receipts off in the app. Marketing email, if we ever send any, will have a one-click unsubscribe.
11 Acceptable use
Don't do any of these:
- Break the law, or use Chairside to collect rent you're not entitled to collect, or to harass or threaten anyone.
- Add someone as a renter without their knowledge, or send texts to people who haven't agreed to receive them.
- Try to access another shop's or another person's data, or probe, scan or test the security of the app.
- Copy, scrape, resell or reverse-engineer the app, or use it to build a competing product.
- Upload malware, or interfere with the service — including automated requests that overload it.
- Use the app to send unlawful, deceptive or unsolicited messages.
We may suspend an account that breaks these rules, and may report serious abuse to the authorities.
12 Your data, our app
Your data is yours. You own the shop records, renter details, schedules and billing information you put into Chairside. You give us permission to store, process and transmit it only to run the app for you — including sending messages and taking payments — as described in the Privacy Policy. You can export or delete it as described there.
The app is ours. Chairside, its name, logo, design and code are owned by Nzati Incorporated and its licensors. We give you a personal, non-transferable, non-exclusive right to use the app under these Terms. All rights not given to you are reserved.
If you send us feedback or a suggestion, we may use it without obligation to you.
13 Availability and changes
We work to keep Chairside running, but we don't promise uninterrupted service. The app may be unavailable during maintenance, provider outages (Stripe, Twilio, Resend, our host) or events outside our control. We may add, change or remove features; if we remove something you rely on, we'll give reasonable notice where we can.
Keep your own records of rent collected. The app is a convenience, not your only bookkeeping system.
14 Suspension and termination
You can stop using Chairside at any time and delete your account in the app (Account → Delete my account). Section 13 of the Privacy Policy explains what happens to your data.
We may suspend or end your access if you break these Terms, if we're legally required to, or if your account is used for fraud or abuse. Where it's reasonable, we'll tell you why and give you a chance to fix it. If we end your access without cause, we'll refund any app fee you've paid for a period you won't get service for.
Ending your account doesn't cancel rent you owe your shop, or a shop's obligation to pay you a refund it owes.
15 Disclaimers
Chairside is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including that the app will be uninterrupted, error-free, or fit for a particular purpose, and that any rent, fee or payout calculation will be free of mistakes — though we'll correct errors we're told about.
We don't verify that a shop has the right to rent a booth, that a renter is licensed, or that a shop's rent or late fees are lawful. Those are the shop's responsibility.
16 Limit on our liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost rent, lost data or business interruption, even if we were told they were possible.
Our total liability for all claims relating to the app is limited to the greater of (a) the app fees we received from your shop in the 12 months before the claim, or (b) $100.
Nothing here limits liability that can't be limited by law, such as for fraud, or for death or personal injury caused by our negligence. Some states don't allow certain limits, so parts of this section may not apply to you.
17 Indemnity
If someone makes a claim against us because of something you did — for example rent you collected without the right to, texts you sent to someone who didn't agree, or content you added — you agree to cover our reasonable costs, including legal fees, and to help us defend the claim. We'll tell you promptly and let you participate in the defense.
18 Disputes
Talk to us first. Email support@chairsideusa.com describing the problem and what you want. We'll try to resolve it within 30 days.
Governing law. These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. If we can't resolve a dispute informally, it will be handled in the state or federal courts located in 5882, and both of us agree to those courts — except that either of us may bring a claim in small-claims court.
One at a time. Each of us may bring claims only in our individual capacity, not as part of a class or representative action. If a court finds that sentence unenforceable, the rest of these Terms still apply.
Time limit. To the extent the law allows, any claim must be brought within one year of the date you knew or should have known about it.
19 App store terms
If you downloaded Chairside from the Apple App Store, these additional terms apply:
- These Terms are between you and us only, not with Apple. Apple is not responsible for the app or its content.
- Your license to use the app is limited to the App Store's Usage Rules, including use on Apple-branded devices you own or control.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation.
- Apple is not responsible for product claims, including claims that the app doesn't comply with law, or claims under consumer protection or similar law.
- Apple is not responsible for investigating or resolving claims that the app infringes intellectual property rights.
- You confirm you're not in a country subject to a US government embargo, and not on any US government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
If you downloaded from Google Play, Google's Terms of Service also apply to your use of the store, and Google is not a party to these Terms.
20 Changes to these terms
We may update these Terms. If a change is material, we'll tell you by email or in the app at least 14 days before it takes effect. If you keep using Chairside after that, the new Terms apply. If you don't agree, stop using the app and delete your account.
One exception: the app fee follows section 8, not this section. No change to these Terms can raise the fee during your shop's 24-month rate guarantee period. After that period, a fee increase requires at least 60 days' notice, not 14.
If any part of these Terms is found unenforceable, the rest stays in effect. If we don't enforce a provision, that isn't a waiver. These Terms and the Privacy Policy are the whole agreement between us about the app.
